<section><p class="heading jdMain">Job Description</p><p class="heading">Roles & Responsibilities</p><div class="paragraph"><p><strong><u>Job Purpose:</u></strong> The General Counsel will be responsible for providing impartial, independent legal opinion and advice to the Management, Chief Executive Officer and Board of Directors of ASYAD Shipping Company and subsidiaries (ASC). To the extent required, the General Counsel is expected to inform and seek the advice of the Group Chief Legal Officer of ASYAD Group on significant legal matters impacting ASC business, or ASYAD Group, and on matters that impact the legal function of the group.</p><p><strong><u>Key Accountabilities Description</u></strong></p><ul><li>Draft, review, and advise in relation to: Charter parties and other commercial contract. Marine insurance and claims; Ship management (technical) contracts; Marine regulatory environment, compliance and international sanctions; Class and flag requirements and practice; Ship financing; Crew employment contracts and matters generally; Protection and Indemnity (P&I) and Freight, Demurrage and Defence (FD&D) matters, where appropriate subject, to P & I club agreement; Ship building and repair contracts; and Other commercial contracts relevant to ASC and its subsidiaries.</li><li>Ensure quality and timely review and advise in compliance with applicable laws, regulations, and policies.</li><li>Ensure ASC interests are properly protected.</li><li>Evaluation of legal risks and advising mitigation steps.</li><li>Proper Liaison with relevant department to ensure the best outcome.</li><li>Generally, advise ASC on all matters requiring legal input such as but not limited to, corporate governance, corporate, property, leases, employment, finance and banking, procurement, chartering, shipbuilding, ship acquisition and selling, etc.</li><li>Ensure compliance of ASC, its subsidiaries, and business with applicable laws and regulations.</li><li>Resolve any audit findings, or non-compliances identified from a legal perspective.</li><li>To provide the insurance team with expert knowledge in contracts as well as claim issues.</li><li>Liaise with other departments and business units in law-related areas of significant company-wide impact (e.g. flagging, class, insurance, HSSE, ship building and repair contracts, and maritime transportation).</li><li>Monitor performance of legal department staff advising on maritime, and shipping matters, and supervise their execution of work.</li><li>Ensure career development for legal department staff, in particular Omanis on shipping and maritime areas of law and industry knowledge.</li><li>Set performance KPIs to ensure development of the staff and liaise with Legal Unit of Asyad Group to ensure alignment of performance.</li><li>Ensure utilisation of existing registers to monitor performance of the works, and time taken to deliver the work.</li><li>Conduct internal training programs, and on the job-training for areas of development.</li><li>Propose training programs for the legal department staff.</li><li>Propose and implement improvements to the management of the legal department, and interface with the Legal Unit of Asyad Group.</li><li>Maintain excellent client relationships with senior managers and stakeholders to ensure timely delivery of pragmatic and quality legal services.</li><li>Obtain continuous feedback from stakeholders, and ensure any significant issues faced are addressed and resolved.</li><li>Identify major legal risks facing the ASC Group and propose management and mitigation options.</li><li>Set the legal budget for internal & external legal spend with the Group Chief Legal Officer, CEO and Board; be accountable for the legal budget of ASC and for providing management information as appropriate.</li><li>Cost optimization of legal budget.</li><li>Act as the primary relationship manager with all external counsel to ensure clear instructions and cost-effective, relevant work product; ensure external legal spend is efficient and appropriate .</li><li>Ensure compliance with procurement and tendering policy, legal affairs policy on engagement of external counsel, and any other policy.</li><li>Lead the identification of opportunities for continuous improvement and sustainability of systems, processes and practices considering global standards, productivity improvement and cost reduction.</li><li>Identify programs, and systems that will contribute to the improvement of ASC s systems, processes, and practices.</li></ul><p><strong><u>Communication:</u></strong></p><ul><li><strong>Internal:</strong> Board of Directors, Chief Executive Officer, Executive Management, Group Chief Legal Officer of Asyad Group, Employees of the Legal Unit, All levels of staff. On the Administration side, the role oversees travel management, office services, records and correspondence handling, facilities-related support, and vendor contracts for administrative functions. The Unit Head Procurement & Administration ensures governance, cost efficiency, service quality, and vendor performance while supporting strategic business objectives.</p><p>Key Accountabilities:</p><ul><li>Manages the end-to-end review and execution of Procurement and Administration activities raised by internal stakeholders, ensuring timely, compliant, and value-for-money outcomes aligned with approved budgets, procedures, and service standards.</li><li>Drives a culture of cost optimization and operational excellence by instituting robust cost control frameworks across both Procurement and Administrative functions, maximizing their contribution to enterprise value.</li><li>Leads the evaluation and execution of high-value and complex procurement requirements, while also overseeing major administrative contracts and service agreements managing the full lifecycle from needs assessment through RFP/RFQ development, tendering, negotiation, vendor/service provider selection, and contract execution.</li><li>Manages and governs supplier and service provider bid evaluations, facilitating senior-level negotiations to secure optimal commercial, technical, legal, and service outcomes that safeguard and advance the Bank s interests.</li><li>Collaborates with business units and cost owners to review vendor and service provider proposals (procurement and administrative), ensuring they meet technical requirements, comply with policy, stay within budget, and support operational priorities; provides clear recommendations for selection and negotiation.</li><li>Manages the structured negotiation processes covering both procurement contracts and administrative service agreements ensuring cross-functional alignment, stakeholder engagement, and strict adherence to internal governance protocols.</li><li>Approves and validates final vendor and service provider selection outcomes by facilitating consensus among stakeholders and preparing comprehensive documentation for Executive Management and relevant committee ratification.</li><li>Monitors organizational compliance with established Service Level Agreements (SLAs) across procurement and administration, spearheading continuous improvement initiatives to enhance agility, responsiveness, service quality, and cost efficiency.</li><li>Acts as a reliable partner to business units facilitating communication, aligning requirements, and helping implement cross-functional initiatives, administrative support, and operational changes.</li><li>Serves as Secretary to the Management Tender Committee (MTC), ensuring end-to-end coordination of Committee s logistics, timely distribution of materials, and transparent documentation to enable informed and accountable decision-making.</li><li>Leads the Corporate Support Services helpdesk and request management process (Procurement and Admin), analyzing demand, eliminating bottlenecks, and improving turnaround time and cost per ticket.</li><li>Manages the business travel ticketing & reservations process end-to-end, meeting defined SLA/TAT targets, and ensures seamless support for staff movements.</li><li>Oversees vendor relationships for travel, office services, and other administrative functions covering onboarding, due diligence, SLA/KPI reviews, issue escalation, and timely closure.</li><li>Owns the contract lifecycle and renewals across both procurement and administration scopes covering RFP/RFQ preparation, terms/SLAs, renewal calendar, DoA documentation, and invoice validation for accuracy.</li></ul><p><strong>Desired Candidate Profile</strong></p><p>Bachelor's degree in Business Administration or a related field.</p><p>Minimum of 8 years of experience with a focus on Procurement and Administration.</p><p>Banking experience is preferred.</p><p>Professional certification such as CIPS, CIPP, or equivalent is preferred.</p><p>Demonstrated leadership experience with a record of delivering impactful results.</p><p>Extensive experience in RFP review, tendering processes, and contract management.</p><p>In-depth knowledge of Oman's Tender Law and its application in procurement practices.</p><p>Strong expertise in negotiation and vendor relationship management.</p>
<p>Be fully conversant with the HSSE Requirements, rules & regulation of the Country, Company & those of the Customer. Monitor implementation of the project HSSE Management Plan and Policies and advise / suggest corrective action, as and when deficiencies / weakness are identified in the implementation of the HSSE Management System in the project. Provide advice, guidance & facilitate the project management team on all maters pertaining to Health, Safety and Environmental Protection. Monitor HSSE standards in activities and providing proactive advices to the project management. Organize in-house and mandatory trainings as per HSSE training plan for the project and maintaining records of the same. Render required assistance to the Line management in the investigation of incidents and dissemination of learning points. Carryout periodic inspection of vehicles, plant, equipment, tools, PPE etc to ensure HSSE adequacy.
