Job Purpose:
To provide professional legal advice, clarification and legal opinion on strategic legal and business matters relevant to the core business operations of the organization; this position anticipates adopting a proactive approach in ensuring that the Organization is protected from any adverse legal consequences. The position requires that the individual can operate across a broad range of different types of matters and quickly absorb and analyze information and identify risks. The individual will also have relevant experience to be able to contribute to the strategic plans of the
business.
Legal Advisory
- Provides the required legal support and recommendations to the CEO and senior management team on legal and risk matters that are of strategic importance in order to safeguard and protect institutional interests, including, but not limited to: legal matters related to shareholders’ agreements, concession agreement, financial facilities, commercial agreements and employment contracts.
- Prepares and drafts commercial contracts in relation to the various operations of the Port and Free Zone (Landlord activities, Port and Free Zone Operator, Marine Operator, Asset owner and Developer).
- Structures new development projects, together with the preparation of project documentation.
- Advises in relation to the preparation and negotiation of financing documents and the structuring of finance transactions including, but not limited to, project financing arrangements and corporate finance arrangements.
- Meets with key personnel involved in the negotiation of contracts or other agreements with a view to provide legal advice in relation to the drafting of contracts, Memorandum of Understanding (MOUs), etc.
- Preparation of a suite of appropriate standard form documents and guidance notes.
- Assists with the training of staff to enable them to better prepare and negotiate contractual arrangements.
- Represents the Organization when meeting regulatory authorities and other stakeholders and ensure that the Organization’s rights are adequately protected.
- Provides legal recommendations and advice on the use of proper communication and negotiation techniques to avoid litigation where possible and achieve an out of court settlement favoring the Organization.
- Provides advice on complex investigations and interrogations of fraudulent activities within the Organization in order to establish the merits of the allegation and recommend the appropriate action.
- Provides recommendation and legal opinion on complex legal claims related to different commercial matters (e.g. customers, suppliers, vendors, contractors etc.) with a view to recovering the Organization’s rights, minimizing liability and/or reaching settlements.
- Provide advice on corporate compliance with applicable statutory, regulatory and legal requirements in order to protect the Organization’s interests.
Corporate Strategy & Strategy Formulation, Implementation and Planning
- Formulate/provide input on legal, corporate and commercial strategy and lead their implementation in line with the Organization’s vision, mission and corporate objectives.
Corporate Governance
- Review and recommend improvements to the guidelines related to the corporate governance of the Organization including the establishment, definition, implementation and periodical review of the corporate standards and operating procedures to ensure that they are legally robust, commercially relevant, and operationally suitable to implement and manage.
External Legal Support
- Coordinates with external legal advisors and key stakeholders, as well as oversee the quality of the deliverables to ensure that the services are provided as per the Organization’s set standards and expectations as well as to ensure that the Organization is getting the best value for the fees paid
Legal Studies and Research
- Monitors and studies the impact of new laws, regulations and decrees promulgated by the Government and/or legislative, regulatory or other responsible bodies that could affect the business activities of the Organization in the realm of contracts or other areas.
- Ability to “get up to speed” on new areas of law and technical concepts quickly.
Minimum Qualifications
- 8+ years of relevant experience as Legal Advisor, Business and Commercial Law
- Bachelor’s degree in law from an accredited institution.
- Master’s degree in law or related field is preferred.
- Proven experience in contract drafting, financial documents, and legal compliance.
- Experience with international remittance and financial business setup.
- Expertise in both Omani and international laws and regulations.
- Excellent contractual drafting skills in respect of both local and international contracts.
- Excellent Business Acumen.
- Ability to interpret and apply laws and regulations to complex business scenarios.
- Proficiency in legal research and legal document management.
