Role Objective
The Corporate Legal Services Officer is responsible for supporting the Legal Counsel – Corporate on all corporate legal matters, including but not limited to regulatory compliance, contract management, employment law, M&A, and intellectual property and data protection. The Officer will support in Oman Air’s legal corporate services, advocacy, and advice to all functions, senior management, and staff in line with relevant legislation, policy, guidelines, and practice standards to ensure consistent, quality services are delivered, and outcomes are improved for Oman Air’s business.
Area of responsibility
General
1. Advice user departments on all legal matters.
2. Support legal counsel on bringing knowledge to user departments from time to time on items that they need to focus on while reviewing contracts.
3. Support departments in new laws/changes in law that may have impact on contracts on a need basis
4. Coordinate with Leal counsel and advise on aviation regulatory matters with an emphasis on passenger consumer matters and represent the company before all courts in all stages.
5. Draft on standard and non-standard documentation, standard terms and conditions, framework agreements, master receivables purchase agreements and other relevant documents and submit for Legal counsel for review and comment
6. Review & study of the Company’s Internal Work System Regulation, Penalties Regulation, Grievances Regulation to amend their provisions (whenever necessary) to conform to the Company’s work system & the provisions of Oman Labour Law, its amendments & its Executive Regulation
7. Develop relationships with external law firms to assist with transactional and non-transactional work as appropriate.
8. Work alongside senior business colleagues and beyond with a particular emphasis on ensuring compliance with legislation and mitigation of legal and other risks.
9. Assist in preparing legal seminars as and directed by the Legal Counsel for managers and their aides to get them aware of the legal issues related to their work. In addition, provide training to take some simple legal procedures that immune their decisions against legal defects.
10. Provide general administrative support to the legal commercial team, including scheduling meetings, managing calendars, coordinating travel arrangements, and processing invoices.
11. Coordinate with External legal counsels and officers /legal clearances/trademarks and copyright registration and other legal matters as required by Oman air
12. Drafting Lease Deed, Memorandum of Understanding, Joint Development Agreement, Sale Deed, Agreement to Sale
13. Any other duties or tasks as may be assigned by the Legal counsel
Mergers and Acquisitions
1. Responsible for providing legal support to the Legal counsel and driving the legal process for mergers, acquisitions, and joint ventures
2. Assist in conducting feasibility assessment of proposed transactions, recognizing the regulatory backdrop, the political environment, and wider risk and reputational considerations.
3. Conduct due diligence on potential partners or targets to assess legal risks and compliance issues and submit to legal counsel for review
4. Draft and negotiate transactional documents, such as acquisition agreements, joint venture agreements, in close coordination with legal counsel – Corporate
Intellectual Property and Data Protection
1. Implement the trademark registration program to adequately protect the Oman Air’s trademarks, service marks, logos, etc., and ensure the airline's intellectual property rights are well protected.
2. Conduct intellectual property searches and registrations
3. Assist in intellectual property agreements, such as licensing agreements and technology transfer agreements in close coordination with Legal Counsel – Corporate
4. Advise on data protection and privacy laws, including compliance with data protection regulations and managing data breaches
Education & Experience
➢2+ years of experience in a corporate legal role, experience in the airline industry will be preferred
➢ Law graduate with either LLB Law degree, JD (or equivalent) and/or LLM (essential) from a top accredited Law School (preferable)

➢ Strong interpersonal and communication skills, both written and verbal, in

➢ Deep expertise of aviation regulations, laws, international agreements and other practices governing the airline industry

➢ Previous Paralegal or equivalent experience gained in an international litigation/arbitration practice, ideally in the Middle East
➢ Contracts management skills with demonstrated knowledge in contract negotiation and management for aircraft leases, supplier agreements, and other aviation-related contracts including drafting, managing and reviewing contracts
➢ Risk and crisis management with high-level knowledge in identifying and mitigating legal risks related to airline operations, liability issues and/or regulatory compliance
➢ Stakeholder management with proven experience handling external legal support (corporate counsel) to support business objectives internationally across multiple countries
