JOB PURPOSE
To advise on legal matters related to OIA and OIA companies in debt finance and related matters and to provide legal support in order to protect OIA’s legal interests.
ROLES AND RESPONSIBILITIES
• Review and negotiation of agreements and other documents relating to debt financing transactions.
• Provide legal advice to business units and management in relation to debt related matters.
• Provide legal assessments, interpretation and recommendations to management on day-to-day finance matters, which will include structuring and implementing transactions as well as addressing issues relating to existing transactions.
• Provide legal advice and assistance on general transaction matters.
• Coordinate the selection and appointment of external legal counsel and instruct such external counsel in the matters for which they are appointed while ensuring effective management of legal costs within agreed technical and cost parameters.
• Support the Debt Management Office (DMO) of the Ministry of Finance when required on government debt matters.
• Assist in the development of the overall legal framework for OIA and its subsidiaries in line with existing applicable laws and regulations to ensure compliance with relevant policies and procedures.
• Identify legal issues in OIA’s transactional and other operations and recommend solutions to achieve OIA’s objectives and minimize legal risk.
• Assist in legal due diligence relating to financing and other transactions (including real estate, private equity and corporate) involving financing, acquisitions and divestments on the part of OIA from structuring to execution.
• Draft OIA’s legal templates and periodically update management and concerned employees on the knowledge of any relevant new law or regulations (in Oman or otherwise).
• Provide analysis to management on legal compliance issues relating to local and international debt finance matters.
• Organize files and develop a matter file system to ensure the safe custody of all original legal documents and agreements are held at an appropriate safe location.
• Comply with the implementation of departmental policies and procedures, to ensure that all relevant procedural and legislative requirements are fulfilled.
• Assist in review of existing financing terms and evaluation of potential improvements to develop a consistent and uniform approach to financing terms in all debt financing matters.
• Contribute to the identification of opportunities for continuous improvement of systems
Educational Qualifications
Bachelor’s Degree in Law or equivalent
Work Experience
8+ years of related experience.
Languages
Fluency in English and Arabic is essential.
